Red River Mutual’s Annual General Meeting of Members
The Red Mutual AGM, by tradition, is held annually on the second Wednesday in April, which is April 10, 2024 at 7:00 p.m.
Red River Mutual has sought legal counsel and has been provided the specified order that this is a valid process for a virtually conducted general meeting.
Pre-registration is required for the meeting. Please note that each Red River Mutual member is entitled to one vote only.
Please note that where a policy has been issued to two or more persons, only one is entitled to vote, and the right of voting belongs to the one first named on the register of policy holders if such person is present, and if not present, to the one who stands second and so on. Where property is insurance by a trustee board or a corporation, any person duly appointed in writing as proxy, may vote on its behalf. (RRM Bylaws 8.4 (f)).

If you are a Red River Mutual policyholder and are unable to attend the AGM, a proxy form, with full instructions, is available on our website for you to complete.

On April 10, 2024, the virtual AGM will include:
- An introduction of speaking participants
- Board of Directors Report
- President / CEO Report
- Election of Directors
- Appointment of Auditors
- An opportunity to address Other Business

There will be three resolutions presented at the AGM. The first two resolutions are regarding items of business to be conducted at the meeting and pertain to the Election of Directors and the Appointment of Auditors.
1. Election to Directors
It will be an item of business to propose four directors be elected to the board.
Motion: That Chad Friesen, Sylvie Albert, Paul Asmundson be elected to serve on the Red River Mutual Insurance Company Board of Directors for a three-year term; and that Christopher Thiessen be elected to serve on the Red River Mutual Insurance Company Board of Directors for a two-year term.
2. Appointment of Auditors
It will be an item of business to appoint PriceWaterhouseCoopers as auditors of Red River Mutual.
Motion: That PriceWaterhouseCoopers (PwC) be appointed as auditors of Red River Mutual Insurance Company for the fiscal year ended December 31, 2024, and thereafter until the close of the next Annual Meeting of Red River Mutual Insurance Company 2025; and to authorise the Board of Directors to fix the auditor’s remuneration.
3. Termination of the Meeting
The third and final resolution will be to terminate the meeting.
Motion: That the Red River Mutual Annual General Meeting be terminated.
